Luke Torpey is one of the four Founders of JRT Partnership. He holds a Bachelor of Laws and a Bachelor of Commerce from Deakin University with a major in Banking and Finance and has over 15 years of experience delivering legal services to local, national and international clients.

EXPERIENCE 

  • Acting as Outsourced General Counsel to a listed Australian company with extensive international operations, taking instructions from the CEO through to the business lines.  This role has included drafting and settling a broad range of contracts, providing advice on international legal issues relating to data protection and privacy law, foreign exchange controls, anti-bribery requirements, dealing with Australian and overseas regulators, documenting key relationships with clients in Australia, the UK and North America, protection of intellectual property rights and engaging in dispute resolution processes
  • Acting as trusted adviser to a family owned distribution and waste management company on matters ranging from negotiating and drafting long-term supply contracts with key customers to leasing and property matters and employment issues, to litigation and debt recovery proceedings
  • Providing on-going back up to in house lawyers in relation to both business as usual and extraordinary matters.  This role requires a rapid response to issues with a focus on categorisation of risks and where possible identification of commercial solutions to avoid lengthy legal engagement 
  • Acting for Vendors and Purchasers for a range of business acquisitions and divestments.   Recent transactions have included the introduction of new equity-holders to a large retail chain, including preparation of finance and security documentation under the PPSA, acting in the sale of a professional services business, and advising a listed company on the sale of a large manufacturing business, including obtaining ACCC merger clearance
  • Undertaking successful litigation in the Supreme and Federal Courts on issues such as breach of the Competition and Consumer Act, intellectual property infringement and contractual issues. Defending clients from claims relating to alleged breaches of intellectual property rights, contractual obligations and data protection laws, including advising clients on Privacy Investigations in Asian and North American jurisdictions 
  • Undertaking investigations of online trademark abuse and other misconduct and taking steps to prevent such conduct
  • Acting on behalf of a large private company in relation to the commercialisation and sale of intellectual property to a listed Australian company
  • Advising a listed company in relation to equity participation, share buy-backs and redemption of preference shares
